Terms of Service

Welcome to Alpha, a product of AfterHour Inc. ("AfterHour," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Alpha mobile application, alpha.so, and related products and services (collectively, the "Services").
By creating an account, downloading the app, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who Can Use Alpha
You must be at least 18 years old and legally able to enter into these Terms to use Alpha. You are responsible for making sure your use of Alpha complies with the laws and rules that apply to you.
You agree to provide accurate account information and to keep your account secure. You are responsible for activity that happens through your account.
2. What Alpha Is
Alpha is a mobile app for creating and interacting with your own vibe trader. Your Alpha can chat with you, follow market data, generate market commentary, create watchlists or preferences, and operate a paper portfolio with simulated trades and performance.
Alpha may include public profiles, leaderboards, shareable pages, notifications, digests, chat, avatar and personality features, and tools that help you understand or copy information into third-party brokerage apps.
Alpha is designed for informational, educational, entertainment, and product-experience purposes. We may add, change, limit, suspend, or discontinue parts of the Services at any time.
3. Paper Trading and Copy Trade
Alpha's in-app portfolio and trade activity are paper trading features. They do not represent your personal brokerage account, your real-money holdings, or actual securities transactions made on your behalf by AfterHour.
If Alpha shows a "Copy Trade" or similar feature, it may help you open a third-party brokerage app or website with information such as a ticker symbol. You remain solely responsible for deciding whether to place any real trade, reviewing the order details, and complying with the terms of your brokerage provider. AfterHour does not place real trades for you, hold customer funds or securities, or control third-party brokerage services.
Paper trading results, leaderboards, and shared performance are not guarantees of future results and may differ from real-world trading outcomes due to market conditions, fees, execution timing, liquidity, taxes, and other factors.
4. No Investment, Legal, or Tax Advice
AfterHour is not a registered broker-dealer, investment adviser, bank, exchange, custodian, or tax adviser. Alpha does not provide personalized investment, legal, accounting, or tax advice.
Information from Alpha, including market commentary, trade reasoning, chat responses, notifications, digests, charts, and leaderboard data, is for informational and educational purposes only. It is not a recommendation, offer, solicitation, or instruction to buy, sell, or hold any security or other financial instrument.
Investing and trading involve risk. You can lose money. You should make your own decisions and consult qualified professionals when appropriate.

5. Subscriptions and Purchases
Some Alpha features require a paid subscription, such as Alpha Pro or another paid plan. Paid subscriptions may be purchased through Apple's App Store, Google Play, or another purchase provider we support.
Subscription pricing, renewal periods, trials, cancellation rights, refunds, and taxes are shown at checkout and are also governed by the applicable app store or purchase provider. Subscriptions may automatically renew unless you cancel before the renewal date through the app store account or other purchase flow where you subscribed.
We do not control app store billing systems and generally cannot issue app-store refunds directly. Refund requests should be made through the app store or purchase provider that processed the transaction, unless we tell you otherwise.
If a payment fails, a subscription expires, or a purchase entitlement is transferred or removed, paid features may be paused or downgraded until access is restored.
6. Your Content and Public Features
You may create, upload, send, or share content through Alpha, including messages, usernames, profile information, avatar choices, prompts, preferences, reactions, comments, and other materials ("User Content"). You are responsible for your User Content and must have the rights needed to provide it.
Some parts of Alpha may be public or shareable, including Alpha profiles, usernames, avatars, paper portfolio performance, leaderboard rankings, and shared links. Please do not post sensitive information you do not want others to see.
You keep ownership of your User Content. You grant AfterHour a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, display, distribute, and otherwise use your User Content as needed to operate, improve, promote, and provide the Services. This license ends when your User Content is deleted from our systems, except where continued use is reasonably necessary for backups, legal compliance, safety, aggregated or de-identified data, or content you shared publicly or with others before deletion.
7. Acceptable Use
You agree not to use Alpha to:
- Violate any law, regulation, contract, or third-party right
- Harass, threaten, defame, abuse, impersonate, or deceive anyone
- Post unlawful, hateful, sexually explicit, violent, fraudulent, or otherwise harmful content
- Promote scams, market manipulation, coordinated pump-and-dump activity, or misleading financial claims
- Interfere with, overload, scrape, crawl, reverse engineer, or compromise the Services
- Attempt to access another person's account, data, or systems without permission
- Upload malware or use Alpha to send spam or unauthorized messages
- Use the Services to build or support a competing product without our written permission
We may remove content, limit features, suspend accounts, or terminate access when we believe these Terms or the safety of the Services require it.
8. Third-Party Services
Alpha may link to, integrate with, or rely on third-party services, including app stores, authentication providers, analytics providers, cloud services, market data providers, AI infrastructure providers, push notification providers, and brokerage apps or websites.
Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services, and we do not control their content, availability, security, billing, or data practices.
Market data, company information, prices, charts, and related content may be delayed, incomplete, inaccurate, or unavailable. You should verify information before relying on it.
9. Intellectual Property
The Services, including our software, designs, logos, trademarks, content, and technology, are owned by AfterHour or our licensors and are protected by intellectual property laws.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use Alpha for your own non-commercial use. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as allowed by law or with our written permission.
If you send us feedback or suggestions, you allow us to use them without restriction or compensation to you.
10. Privacy
Our Privacy Policy explains how we collect, use, and share information. By using Alpha, you acknowledge that we process information as described in the Privacy Policy.
11. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice through the Services, by email, or by another reasonable method. Your continued use of Alpha after updated Terms take effect means you accept the updated Terms.
12. Termination
You may stop using Alpha at any time. We may suspend or terminate your access to the Services, with or without notice, if we believe you violated these Terms, created risk for us or others, or if we discontinue the Services.
Sections that by their nature should survive termination will survive, including sections about intellectual property, User Content licenses, disclaimers, limitations of liability, indemnity, and dispute resolution.
13. Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, AfterHour disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and security.
We do not guarantee that Alpha will be uninterrupted, error-free, secure, accurate, or that any market information, AI-generated content, paper trading output, or other content will be complete or reliable.
AI-generated content can be wrong, incomplete, stale, or inappropriate for your circumstances. You should independently evaluate information before relying on it.
14. Limitation of Liability
To the fullest extent permitted by law, AfterHour and its officers, directors, employees, agents, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, trading losses, investment losses, or other intangible losses arising from or related to your use of the Services.
To the fullest extent permitted by law, our total liability for any claim related to the Services will not exceed the greater of the amount you paid to AfterHour for the Services in the 12 months before the claim arose or $100.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless AfterHour and its officers, directors, employees, agents, affiliates, and licensors from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Services, your User Content, your violation of these Terms, or your violation of any law or third-party right.
16. Dispute Resolution
Please contact us first if you have a concern. Most issues can be resolved informally.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. To the fullest extent permitted by law, you and AfterHour agree to resolve disputes on an individual basis and not as part of a class, consolidated, or representative action.
